The Importance of Having a NV Registered Agent

According to a recent article from Entrepreneur Magazine, too often and all too easily, corporations can let some of their legal paperwork fall through the cracks. And once that happens, the company runs the risk of being in “bad standing” with the state and can even lose its personal liability protection.

One common mistake that corporations make, the article reports, is forgetting to pay their registered agent or to update the address of their registered agent with the state. A NV registered agent, or resident agent, is a person or entity who is authorized to receive official papers, such as service of process, on behalf of a corporation. All states require that business entities publicly list a registered agent with the Secretary of State. In addition, the registered agent must be listed with any other state that the company is authorized to do business in. What happens if the company lets the services of their registered agent lapse, Entrepreneur reported, is that any official mail that is sent by the state is returned. This can cause the company to fall into bad standing until its legal address is updated. A business entity in Nevada cannot act as its own registered agent unless it has filed a certificate in accordance with state code, is authorized to do business in Nevada and is in good standing with the Secretary of State.
